1. Parties to the Annual Maintenance Contract:
For the purpose of this AMC, Service Provider and Company shall mean the maintenance firm. The "Service Provider" shall be
referred as "Service Provider" and "Company" as "Client".
2. Tenure of AMC:
The tenure of AMC shall be for 12 (Twelve) Months from
1st April, 2025 to 31st of March, 2026.
3. Scope and Coverage of the AMC:
The services covered and services not covered are as mentioned below.

4. Charges and Rates for the AMC:
The rates and charges for the AMC are specified in the attached Annexure I of this Agreement.
5. Geographical Scope of Location and Serviceability:
This AMC contract shall only be Valid for any Air conditioners and System Installed within the vicinity
and City Limits of Ahmedabad (Gujarat, India) or any other Address/Location specifically mentioned in
the AMC by the Company.
6. Timing and Working Days:
Our AMC services shall be Provided on all Weekdays except on Sundays, Public Holidays and Festivities.
The Working hours shall be normal Business hours i.e. 10.00 am to 6.00 pm.
7. Preliminary Inspection:
All the Systems as mentioned in Annexure II
shall go under a Before AMC machines will undergo complete health check-up. Any breakdowns or
requirement of repair work found during the Checkup shall be carried out on chargeable basis before
Execution of AMC Contract.
8. Terms of Payment:
The Payment for the AMC Services shall be done in Full and Advance before the Execution of the AMC
Contract. The Details of the Quote along with Payments Beneficiary are mentioned in Details in Schedules
Annexure I.
9. Point of Contact / Communication during Breakdown:
You shall be contacting on _____________________. Registration of
Complaint shall be accepted by the Company during Operative Working Hours i.e. 10.30 AM to 04.30 PM. The
Company Shall be entertaining the same in the following manner:

12. Force Majeure:
Failure to provide services or perform obligations under AMC shall not be construed as a breach of the
AMC due to Force Majeure conditions as a result of Act of God, lightning, storm, floods, fire,
earthquake; Act of public enemy, war (declared or undeclared), terrorism, sabotage, riot, insurrection,
epidemic; strike; lockout, industrial disturbance, or any conditions arising from similar causes beyond
Service Provider's control.
13. Arbitration:
Any controversy, claim, or dispute between the parties arising out of this AMC will be settled
exclusively and finally by arbitration in accordance with the Arbitration and Conciliation Act, 1996.
The Parties shall appoint a sole arbitrator with mutual consent. The arbitration proceedings shall be
conducted in Vernacular language. The expenses of the arbitration will be shared equally by both
parties.
14. Obligations of Client:
The AMC shall become null and void in case the EQUIPMENT/S is/are shifted from its original place of
installation, or the right of property is transferred to another individual or legal person under any
law of India, or is misused, dismantled, altered, or serviced by anybody other than the Service
Provider's authorized maintenance staff or authorized service dealer without the express consent in
writing from the Service Provider. However, costs and risks of such activities by the Client shall be
borne by the Client.

“Before undertaking the Services, the Service Provider reserves the right to verify and examine the
Equipments to ensure that such Equipments are in a serviceable state. The Service Provider's liability
under this AMC shall be limited as per the scope of the agreement.
